ZOE LUMOS provides digital marketing services including but not limited to: - Search Engine Optimization (SEO) - Google Ads Management - Yelp Advertising - Website Design and Development - E-commerce & Shopify Development - LLC Formation Assistance The specific scope of services will be outlined in individual service agreements or proposals provided to clients.

As a client, you agree to: - Provide accurate and complete information necessary for service delivery - Respond to requests for approval or information in a timely manner - Maintain confidentiality of account credentials - Ensure you have rights to any content you provide for use in our services - Comply with all applicable laws and regulations - Pay for services according to agreed terms

- Payment terms are specified in individual service agreements - Most services require upfront payment or monthly subscription - Late payments may result in service suspension - Refunds are handled on a case-by-case basis as outlined in service agreements - Pricing is subject to change with notice for ongoing services

Our Property: All content, designs, code, and materials created by ZOE LUMOS remain our intellectual property until full payment is received. Client Property: Upon full payment, clients receive ownership of custom designs and content created specifically for their project, unless otherwise specified. Third-Party Assets: Some services may include third-party templates, plugins, or assets that are licensed, not owned.

For website services: - We recommend but do not require clients to use our hosting services - Website maintenance and updates may be offered as separate services - Clients are responsible for domain registration renewal - We are not responsible for third-party service outages

For Google Ads and Yelp advertising services: - Ad spend budgets are separate from management fees - Results cannot be guaranteed as they depend on many factors - We follow platform guidelines and best practices - Account access will be transferred to client upon request - Platform policy changes may affect campaign performance

For SEO services: - Rankings depend on many factors beyond our control - We follow white-hat SEO practices only - Results typically take 3-6 months to materialize - We provide regular reporting on progress - Algorithm changes may affect rankings

To the maximum extent permitted by law: - Our liability is limited to the amount paid for services - We are not liable for indirect, incidental, or consequential damages - We are not responsible for third-party service failures - We do not guarantee specific business results - Force majeure events excuse our performance obligations

Either party may terminate services: - With written notice as specified in the service agreement - Immediately if the other party materially breaches these Terms - Upon completion of the agreed scope of work Upon termination, client shall pay for all services rendered.

Both parties agree to: - Keep confidential information private - Use confidential information only for service delivery - Not disclose confidential information to third parties without consent - Return or destroy confidential information upon request

Any disputes arising from these Terms shall be: - First attempted to be resolved through good-faith negotiation - Subject to mediation if negotiation fails - Governed by the laws of the State of New Jersey - Subject to the exclusive jurisdiction of New Jersey courts

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the new Terms.
